Compliance requirements for tokenized assets follow the rights being offered, the parties involved and the relevant jurisdictions. A blockchain does not supply an offering exemption, a distribution licence or investor eligibility. For a property or hotel sponsor, the practical task is to connect legal documents, admission checks, ownership records and transfer controls throughout the investment's life.
This guide covers the questions to resolve before issuance and uses specific US and EU examples. It is an orientation as of 13 October 2026, not a legal opinion for a particular offering. Local counsel must determine which rules apply to the issuer, asset, investors and service providers.
Start with the rights behind the token
A token may represent a share in an issuer, a debt claim, a fund interest or a contractual entitlement. These are different arrangements. The first document should identify the obligor, the investor's rights, the governing law and the relationship between the token record and the legally effective ownership register.
The SEC staff's January 2026 statement explains that tokenized securities remain subject to federal securities laws and distinguishes issuer-sponsored structures from third-party arrangements. It is staff guidance, not a new rule or Commission approval of a product. SEC staff statement on tokenized securities.
For real estate, draw the chain from the investor to the issuer and then to the entity holding the property or lease. Identify where mortgages, operating contracts and other claims sit. Our guide to property SPVs introduces these layers; the actual documents must establish the rights for each deal.
Map jurisdictions before choosing an issuance route
An offshore company does not answer every cross-border question. A useful compliance brief lists:
- The issuer's domicile and the location of the property.
- The countries in which marketing will occur and investors will reside.
- The investor categories being admitted and the evidence required.
- Who arranges subscriptions, holds assets, processes payments and maintains records.
- The intended transfer process and any proposed trading venue.
Counsel can then assess securities, company, property, tax, financial promotion and service-provider requirements against actual activities. A technology supplier and a regulated intermediary have different responsibilities; each responsibility should have a named owner.
In the EU, MiCA expressly excludes crypto-assets that qualify as financial instruments. Calling an instrument a token therefore does not establish that MiCA is its applicable regime; securities and other relevant rules require separate analysis. MiCA, Article 2.
Match investor checks to the offering
Identity verification, beneficial-owner checks, sanctions screening and eligibility assessment serve different purposes. The applicable AML obligations depend on the jurisdiction, entity and activity. Avoid treating a generic KYC badge as evidence that every participant has fulfilled every obligation.
For a US offering under Rule 506(c), the issuer must take reasonable steps to verify accredited-investor status; eligibility is not established merely because an applicant controls a wallet. The SEC describes a principles-based assessment and non-exclusive verification methods. SEC guidance on Rule 506(c).
Operationally, keep the admission decision, supporting evidence, reviewing party and review date connected to the investor record. Determine when information expires and what triggers rechecking. Our investor KYC guide explains how onboarding connects to administration, while counsel must confirm the evidence standard for the specific offering.
Translate the documents into transfer controls
A compliant issuance process needs a documented answer to what happens after the initial subscription. Separate three questions: whether a resale is legally permitted, whether the issuer's documents permit it, and whether the system can process it.
For each class, record eligibility restrictions, applicable holding periods, consent requirements and any lender-related constraints. Configure those decisions in the registry and transfer workflow. Test rejected transfers as well as successful ones: an unapproved recipient, an expired admission record and a missing consent should produce understandable outcomes.
Do not assume one lock-up period fits every exemption. In US Regulation Crowdfunding, resales are generally restricted for one year. Exceptions include transfers to the issuer, an accredited investor, in a registered offering, and specified family, trust, death or divorce circumstances. The SEC's issuer guidance gives the precise categories. That rule belongs to Regulation Crowdfunding and is not a universal token rule. SEC Regulation Crowdfunding issuer guidance.
Expiration of a restriction does not produce a buyer or override contractual conditions. The economic consequences are covered in tokenized investment risks.
Wallet visibility is not regulatory approval
A token appearing in a wallet shows that the software can display it. A verified contract address, familiar logo or working transfer button does not establish that an offering is authorised, that an investor is eligible or that the asset has passed investment due diligence.
For sponsors, distinguish technical integration from legal review in product copy and investor communications. If a provider has a regulated role, identify the legal entity, permission and activity involved. Do not present a software integration as an endorsement of the investment.
US Regulation Crowdfunding illustrates why the distribution route matters: transactions must occur through an SEC-registered broker-dealer or funding portal, alongside applicable disclosure and investor-limit requirements. A wallet interface alone does not fulfil that role. SEC overview of Regulation Crowdfunding.
Prepare the operating evidence before launch
A sponsor can make counsel's conclusions reviewable through a compact launch pack:
- Structure and rights: entity chart, security terms, ownership records and document hierarchy.
- Offering route: jurisdiction analysis, marketing boundaries and approved investor categories.
- Admissions: accountable reviewers, evidence requirements and exception handling.
- Transfers: a restriction matrix, approval workflow and acceptance-test results.
- Ongoing administration: reporting calendar, distribution approvals, record retention and incident handling.
Include the failure cases. Who reconciles a mistaken entry? Who can pause transfers? What evidence is required after a lost wallet, succession event or court order? The answers should be consistent across agreements, operating procedures and software permissions.
