Tokenized private equity interests: a sponsor's guide
How tokenized private equity interests work across funds and SPVs, including capital calls, investor rights, fees, transfers and exits for property sponsors.

Tokenized private equity interests are digitally represented interests in private companies or investment vehicles, including funds, feeder vehicles and asset-specific SPVs. The token can support ownership records and administration; the legal agreements establish what the investor owns, what they must contribute and how they receive proceeds.
For sponsors, the first decision is whether investors are backing a managed portfolio or a specific asset. Those structures need different disclosures, capital records and consent workflows. This guide focuses on the operational questions that arise after that decision, particularly for real estate and hospitality projects.
A fund interest and a direct SPV interest differ
Fund or limited-partner interest. The investor participates in a vehicle whose manager invests under an agreed mandate. The fund holds the portfolio investments; the investor holds an interest in the fund. A tokenized LP interest should therefore be described by reference to the fund agreement, including its obligations and restrictions.
Feeder interest. The investor participates through a vehicle that invests into another fund. Prepare a diagram showing both layers and identify where fees, reporting and consent decisions occur. Check whether information from the underlying fund arrives in time for the feeder's reporting promises.
Direct SPV interest. The investor holds shares or membership interests in an asset-specific vehicle. A property SPV may own one building, an interest in a property company or another defined investment. It should be described according to that actual perimeter, rather than presented as a diversified fund.
The SEC's private equity funds overview describes pooled investment vehicles, long investment horizons and withdrawal restrictions. Tokenization does not establish that a particular structure has the same terms. The equity tokenization guide covers the broader distinction between direct ownership, intermediated interests and synthetic exposure.
Capital commitments need more than a token balance
A sponsor should distinguish committed capital, contributed capital and the remaining amount that can be called. These are different records. An investor who has paid the first installment may still have a future funding obligation under the subscription and partnership agreements.
For a hypothetical commitment of $100,000 with $40,000 contributed, the administrator should be able to show the $60,000 outstanding obligation alongside the investor's position. The example describes accounting fields, not a proposed investment or return.
Before implementation, resolve these questions:
- Who can issue a capital call, with what notice and payment instructions?
- How are receipt, allocation and overdue amounts recorded?
- What contractual process applies to a missed payment?
- Can distributions be recalled, and how is that obligation disclosed?
- On a transfer, who assumes outstanding commitments and when is the seller released?
The ILPA capital call and distribution resources provide industry references for notice content and reporting. They are best-practice materials rather than legislation. The fund's own documents should control the workflow configured in its system.
Governance should follow the investment documents
Prepare a decision register that identifies the manager's authority, investor voting matters and any advisory committee role. Include amendments, conflicts, related-party transactions, manager replacement and extensions of the investment term where relevant to the structure.
For a proposed digital vote, specify eligible participants, voting weights, quorum, deadlines and evidence of the result. Test whether a class consent requires a separate tally. Access to a wallet should not be the only source of information about who can act for a subscribing institution.
The ILPA Principles offer a framework for discussing alignment, governance and transparency between managers and investors. Use it as a discussion reference; do not describe an implementation as legally compliant merely because its portal includes voting functionality.
Fees, valuation and distributions
Present the full economic path from asset income or sale proceeds to the investor. A useful implementation schedule separates management fees, vehicle expenses, any performance allocation and costs arising at a feeder or property-company level. Record the calculation basis and responsible reviewer for each item.
The SEC's private equity overview emphasizes the role of offering documents and agreements in disclosing fees and expenses. For a tokenized structure, make the approved schedule accessible from the position record and identify the reporting period used in each calculation.
A displayed valuation also needs context. Label its effective date, calculation method and approval status. A periodically calculated net asset value is a different data field from an executable buyer's offer. Design the interface so investors can distinguish them.
Transfers and exits need a complete workflow
Before permitting a transfer, establish a checklist covering recipient eligibility, required consents, outstanding commitments, tax information and the update to the ownership record. A prospective buyer needs sufficient information to price the interest; the seller needs clarity on retained obligations.
At the investment level, document the expected exit mechanism: asset sale, portfolio realization, permitted redemption or another contractual route. At the investor level, explain whether a secondary transfer is available and what it depends on. Avoid using a token's technical transferability as the evidence for an exit forecast. See tokenized investment risks.
Application to property and hotel sponsors
For a single hotel, start with the SPV and operating-company structure, the debt arrangements and the cash available after operating costs and reserves. For a portfolio vehicle, add the investment mandate, asset allocation process and capital-call administration. Those choices should drive the technology specification.
